Shareholders' Auditor Service Policy

CIBC has a Policy on the Scope of Services of the Shareholders' Auditor. Under this policy the Audit Committee approves the engagement terms for all audit and non-audit services to be provided by CIBC's auditor before such services are provided to the Bank or any of its subsidiaries.
