Capital Raising in the Private Market

The CIBC Mid-Market Investment Banking team's extensive knowledge of the Canadian and U.S. capital markets and strong relationships with capital-providers positions us to arrange and secure private financing in the form of senior debt, subordinated debt, mezzanine finance, common and preferred equity for a wide range of clients. Our focus is on financings in the range of $10 million to $100 million (and smaller deal sizes in the case of an equity capital raise).

Our team will work with your company to determine the optimal capital structure that will achieve: an appropriate blended cost of funds; an acceptable level of financial risk; and sufficient financial flexibility to accommodate your company's future growth plans.

Raising financing from third party capital-providers/investors could be right for your company if:

  • your company requires financing to support internal growth opportunities (e.g., working capital to finance new customers, or a plant expansion).
  • the company needs capital to fund an acquisition, management buy-out, shareholder distribution / buy-out or going private transaction.
  • your company is seeking to refinance its current capital structure (e.g., reduce its leverage to provide more financial flexibility).

Services that CIBC Mid-Market Investment Banking can provide to you regarding a capital-raise:

  • Assess financing alternatives available to the company, including the creation of a detailed financial model to assess the viability and financing of each alternative.
  • Assist the company in determining its optimal capital structure.
  • Thoroughly assess the value of the securities to be sold.
  • Prepare a comprehensive review of potential investors/capital-providers, including their investment criteria.
  • Develop a financing strategy and act as advisor and agent to raise capital from prospective investors.
  • Create a marketing plan to position the company as a unique investment opportunity.
  • Create a competitive bidding environment of prospective investors to secure the best possible financing terms for the client.
